AskEDITED Trial Agreement

PLEASE READ THIS ASKEDITED TRIAL AGREEMENT (THIS “AGREEMENT”) CAREFULLY BEFORE CLICKING “I ACCEPT” OR OTHERWISE ACCESSING OR USING ASKEDITED.

THIS AGREEMENT IS A BINDING LEGAL AGREEMENT BETWEEN STYLESCAPE LIMITED T/A EDITED, A COMPANY INCORPORATED IN ENGLAND AND WALES WITH REGISTERED OFFICE AT 77 FARRINGDON ROAD, LONDON EC1M 3JU, UNITED KINGDOM (“EDITED”), AND YOU.

BY CLICKING “I ACCEPT” (OR ANY SIMILAR BUTTON OR CHECK-BOX PRESENTED WITH THIS AGREEMENT), YOU, PERSONALLY, AGREE TO BE BOUND BY THIS AGREEMENT. WHERE YOU HAVE AUTHORITY TO BIND AN ORGANISATION IN CONNECTION WITH YOUR ACCESS TO OR USE OF ASKEDITED, THAT ORGANISATION IS ALSO BOUND BY THIS AGREEMENT ALONGSIDE YOU, AND REFERENCES TO “YOU” AND “YOUR” INCLUDE THAT ORGANISATION.

IN EITHER CASE YOU CONFIRM THAT YOU ARE AT LEAST 18 YEARS OLD AND THAT YOU ARE ENTERING INTO THIS AGREEMENT FOR PURPOSES RELATING TO YOUR TRADE, BUSINESS, CRAFT OR PROFESSION. IF YOU DO NOT AGREE TO THIS AGREEMENT, OR YOU CANNOT GIVE THESE CONFIRMATIONS, YOU MUST NOT ACCESS OR USE ASKEDITED.

THE DATE ON WHICH YOU FIRST CLICK “I ACCEPT” IS THE “EFFECTIVE DATE”.

I.AskEDITED and the Trial

  1. “AskEDITED” means the AI-driven natural language interface developed and operated by EDITED that works in conjunction with EDITED’s specialist retail agent, EDIE (as defined below), enabling users to submit queries in natural language and receive data-driven insights, analysis, and recommendations in response. AskEDITED is made available by EDITED to you on a trial basis under this Agreement.
  2. “EDIE” means EDITED’s specialist retail agent, an AI system that applies EDITED’s proprietary retail process and terminology data and operates in conjunction with one or more third-party foundation models to produce data-driven insights and recommendations.
  3. EDITED grants to you, during the Trial Period (as defined below), a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to access and use AskEDITED solely for your internal evaluation of the functionality and technology of AskEDITED for internal business purposes, and for no other purpose (“Permitted Purpose”).
  4. EDITED grants to you, during the Trial Period (as defined below), a non-exclusive, non-transferable, non-sublicensable, revocable, royalty-free license to use any materials or insights which are proprietary to EDITED and derived from the data provided by, or obtained from, the EDITED’s services (“Service Data”) solely for the Permitted Purpose. On expiry or termination of the Trial Period, this license will terminate and you shall cease all use of Service Data.
  5. Access to AskEDITED is granted on an individual basis. EDITED may, in its sole discretion, refuse or revoke access to any individual whose email address is associated with a personal or free webmail provider, a competitor of EDITED, or any other domain that EDITED considers inappropriate.
  6. Sharing of login credentials is strictly prohibited and constitutes a material breach of this Agreement, provided that nothing in this clause prevents you from sharing an invitation link where each recipient must separately complete EDITED’s sign-up and acceptance flow before being granted access.
  7. EDITED may, in its sole discretion and at any time, modify, suspend, withdraw or discontinue AskEDITED, or any feature or component of it, in whole or in part, without notice and without liability to you.
  8. You shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use AskEDITED, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, “Equipment”). You shall be responsible for maintaining the security of the Equipment, your account credentials, passwords and files, and for all uses of your account credentials to access AskEDITED or the Equipment with or without your knowledge or consent.

II.Trial Period

  1. The trial period (“Trial Period”) begins on the Effective Date and ends on the earlier of: (i) the expiry of fourteen (14) calendar days from the Effective Date; and (ii) your use of fifty (50) queries in AskEDITED in aggregate, provided that EDITED may at any time, with prior written notice to you, extend or reduce the number of days or increase or decrease the number of queries available to you under this clause.
  2. EDITED may terminate the Trial Period, and your access to AskEDITED, at any time and for any reason (or no reason), with immediate effect and without notice or liability.

III.Fees

  1. AskEDITED is provided during the Trial Period at no charge, unless EDITED expressly notifies you otherwise in writing.

IV.Your Content and Data Protection

  1. Content consists of all non-public data, materials and information that you input into, or transmit to or from, AskEDITED (“Content”). EDITED will treat Content confidential by not divulging it to any third party except to: (a) EDITED and its suppliers, affiliates, officers, representatives, contractors and employees (“Representatives”) who need access to the Content to provide AskEDITED to you; and (b) a third party model provider, to whom Content is disclosed for the purpose of generating answers to your queries, provided that no Content will be used to train, fine-tune or otherwise improve any machine learning or artificial intelligence model other than as set out in clause IV.b(3) and (4).
  2. You grant EDITED and its Representatives all rights and permissions necessary to use, store and process Content for the purposes of (1) providing AskEDITED, (2) enforcing this Agreement, (3) collecting and using your prompts to personalise your own experience of AskEDITED, and (4) compiling  analysis and statistics..
  3. You shall obtain all consents, permissions and rights necessary for EDITED to process the Content in accordance with this Agreement.
  4. EDITED will apply commercially reasonable technical and organisational measures to protect Content, but you acknowledge that AskEDITED is provided during a trial and that no service levels, security warranties, or availability commitments apply.
  5. Where an organisation is bound alongside you under the acceptance provisions above, the parties’ respective obligations in relation to personal data processed on behalf of that organisation in connection with AskEDITED are additionally set out in the data processing agreement available here (“DPA”), which is incorporated into this Agreement. To the extent any personal data is included in the Content, EDITED will process your personal data in accordance with its privacy policy available here, which explains what personal data EDITED collects, how it is used, and your rights in relation to it.
  6. On expiry or termination of the Trial Period, EDITED may, at its discretion, retain or delete Content in its possession or control, except to the extent otherwise required by law applicable to EDITED, and this clause does not limit EDITED’s rights under clause IV.b.

V.Restrictions and Acceptable Use

  1. You shall use AskEDITED solely for the Permitted Purpose, and shall not (and shall not permit any third party to): (i) license, sublicense, sell, resell, rent, lease, transfer, distribute, time-share, or otherwise commercially exploit AskEDITED or any materials output, data or insights derived from AskEDITED, including, without limitation any Service Data, or make any of the foregoing available to any third party (whether as part of a service bureau arrangement or otherwise); (ii) reverse engineer, decompile, disassemble or otherwise attempt to discover the source code, object code, underlying structure, ideas, know-how or algorithms of AskEDITED, or any related software, documentation or data; (iii) modify, translate, or create derivative works based on AskEDITED, except to the extent expressly permitted by EDITED; (iv) remove or obscure any proprietary notices or labels; (v) combine AskEDITED with your value-add to create a commercially available branded solution for which you charge a fee; (vi) use AskEDITED in any jurisdiction for any unlawful, obscene, offensive or fraudulent activity, to promote or cause harm, to send unsolicited, abusive or deceptive messages, viruses or harmful code, or in violation of any third party’s rights; (vii) exceed any fair usage limits notified by EDITED from time to time; (viii) use AskEDITED, any output of AskEDITED or any Service Data to develop, train, fine-tune, benchmark or otherwise improve any product, model, dataset or service that competes with AskEDITED or any other of EDITED’s services, or to derive ground truth, test data or evaluation harnesses for any such purpose; or (ix) conduct any security testing of AskEDITED, including penetration testing, vulnerability scanning or red teaming, without EDITED’s prior written consent, or engage in prompt injection, attempted data exfiltration, unauthorised access to AskEDITED or any EDITED system, or any other act intended to compromise or that would be reasonably likely to compromise the security or integrity of AskEDITED.
  2. You shall comply with all laws and regulations applicable to your use of AskEDITED.
  3. EDITED may monitor your use of AskEDITED, and may suspend or terminate access at any time where it believes (whether or not correctly) that such use breaches this Agreement.
  4. You shall not use AskEDITED or any output of AskEDITED for any practice prohibited under Article 5 of Regulation (EU) 2024/1689 (the “EU AI Act”), including any form of social scoring, untargeted scraping of facial images, biometric categorisation to infer sensitive characteristics, emotion recognition in workplace or educational settings or any subliminal, manipulative or deceptive technique.
  5. You shall not use AskEDITED or any output of AskEDITED as a safety component of, or otherwise deploy it within, any high-risk AI use case listed in Annex III to the EU AI Act (including in relation to employment, worker management, creditworthiness or access to essential private or public services).
  6. You shall not input into AskEDITED: (i) any personal data (including any special category data); (ii) any confidential or proprietary information of a third party; or (iii) any material that infringes the intellectual property rights of a third party.
  7. You shall apply meaningful human review to any output of AskEDITED before relying on or acting on it, and shall not use AskEDITED or any output of AskEDITED to take any decision producing legal effects concerning, or similarly significantly affecting, any individual without human oversight.

  8. You must use AskEDITED in good faith and in a manner that does not adversely affect the security, performance, stability or availability of AskEDITED for other users. Without limiting clause V, examples of excessive or abusive use include automated, scripted or programmatic querying, or use of bots, scrapers or similar tools not authorised by EDITED, any attempt to bypass, interfere with or circumvent a rate limit, usage control or other technical or security measure, and any use that generates disproportionate load on, or otherwise degrades the performance of, AskEDITED.

    Where EDITED reasonably considers that your use of AskEDITED is excessive, abusive or otherwise falls within this clause, EDITED may, at its discretion, take proportionate action including throttling, rate limiting, restricting or suspending your access to AskEDITED, with or without notice, and without prejudice to EDITED’s other rights under this Agreement, including its right to terminate the Trial Period under clause X.a. No action taken under this clause constitutes a breach of this Agreement or gives rise to any refund, credit or other remedy in your favour. This clause is without prejudice to EDITED’s rights under clause V.c and clause X.a.

VI.Proprietary Rights

  1. As between the parties, you retain all right, title and interest in and to (i) your Content and (ii) output generated by AskEDITED in response to your queries (“Outputs”).
  2. As between the parties, EDITED owns and retains all right, title and interest, including all intellectual property rights, in and to: (i) AskEDITED; (ii) all improvements, enhancements, modifications, feedback and derivative works relating to AskEDITED (“New IP”), excluding any Outputs; (iii) any software, applications, inventions and technology developed in connection with AskEDITED; (iv) any Service Data; and (v) all intellectual property rights in any of the foregoing.
  3. You hereby assign to EDITED all right, title and interest in and to any New IP, with full title guarantee and free of encumbrances, and shall provide such assistance as EDITED reasonably requires to document, perfect and maintain its rights in the New IP.
  4. AskEDITED is augmented with machine learning, artificial intelligence and statistical models that use EDITED’s intellectual property and proprietary information to create derived information based on trade-secret processes. Those models and samples of their data (the “Augmented Data”) are commercially sensitive and constitute EDITED’s confidential information and intellectual property. You shall not disclose, publish or otherwise make available any Augmented Data to any third party, except to the extent required by law, regulation or a competent court or authority, in which case you shall, to the extent legally permitted, notify EDITED before making the disclosure.
  5. Except as expressly set out herein, no rights or licenses are granted by either party under its intellectual property rights.

VII.Warranties and Disclaimer

  1. You represent, warrant and covenant that: (i) you have full authority to enter into this Agreement; (ii) where an organisation is bound alongside you under the acceptance provisions above, you have full legal authority to bind that organisation to this Agreement; (iii) you shall comply with clause V; and (iv) your use of AskEDITED and any Content will not infringe the rights of any third party or breach any applicable law.
  2. ASKEDITED, ALL SERVICE DATA, AND ANY RELATED MATERIALS OR OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” FOR THE DURATION OF THE TRIAL PERIOD. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EDITED DISCLAIMS ALL WARRANTIES, CONDITIONS, REPRESENTATIONS AND TERMS, WHETHER EXPRESS OR IMPLIED (WHETHER BY STATUTE, COMMON LAW, COURSE OF DEALING OR OTHERWISE), INCLUDING ANY IMPLIED WARRANTIES OF SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY OR RELIABILITY. NO SERVICE LEVELS APPLY. NO TECHNICAL SUPPORT IS PROVIDED UNLESS EXPRESSLY AGREED IN WRITING BY EDITED. EDITED DOES NOT WARRANT THAT ASKEDITED WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE OR FREE FROM VIRUSES OR OTHER HARMFUL CODE.
  3. You acknowledge that: (i) AskEDITED is a generative artificial intelligence system, that you are interacting with an AI system and that all outputs are AI-generated; (ii) outputs may be inaccurate, incomplete, out of date or fabricated, and you are responsible for independently verifying any output before relying on it; and (iii) AskEDITED is provided on a trial basis for evaluation only, and you shall not rely on AskEDITED or any Service Data in making any business, commercial, legal or other decision.
  4. EDITED does not warrant that any output of AskEDITED is original or free from the intellectual property rights of third parties. You are responsible for reviewing and clearing any output before using it, and your use of any output is at your own risk.

VIII.Indemnity

  1. You shall indemnify, defend and hold harmless EDITED and its Representatives, from and against all losses, damages, liabilities, settlements, costs and expenses (including reasonable legal fees) arising out of or in connection with: (i) any breach by you of this Agreement; (ii) your use of AskEDITED; or (iii) any Content (including any personal data, third party confidential or proprietary information you input into AskEDITED in breach of clause V.f).

IX.Limitation of Liability

  1. Nothing in this Agreement limits or excludes either party’s liability for: (i) death or personal injury caused by its negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded by applicable law.
  2. Subject to clause IX.a and notwithstanding anything to the contrary in this Agreement: (i) EDITED and its Representatives shall have no liability under or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for: (i) any loss of profits, revenue, business, goodwill, opportunity, anticipated savings, or data; (ii) any loss or corruption of data, cost of procurement of substitute goods, services or technology, or interruption of use; (iii) any indirect, special, consequential, incidental or exemplary loss; or (iv) any matter beyond EDITED’s reasonable control
  3. EDITED’s total aggregate liability under or in connection with this Agreement (whether in contract, tort (including negligence), breach of statutory duty, or otherwise) shall not exceed one hundred pounds sterling (£100).
  4. You acknowledge that the limitations in this clause IX are reasonable given that AskEDITED is provided free of charge as a trial.

X.Termination

  1. EDITED may terminate this Agreement and your access to AskEDITED at any time, for any reason or no reason, with immediate effect and without notice or liability.
  2. You may terminate this Agreement at any time by: (i) ceasing all use of AskEDITED; and (ii) notifying EDITED in writing.
  3. On expiry or termination of the Trial Period or this Agreement: (i) all licenses granted to you will terminate; (ii) you shall immediately cease all access to and use of AskEDITED; (iii) you will promptly remove the applicable software from your systems; and (iv) clauses IV.f, V, VI, VII, VIII, IX, XI, XII and XIII shall survive.
  4. No individual, and no individual using an email address at a given business email domain, may participate in a trial of AskEDITED more than once.

XI.Confidentiality

  1. You shall keep confidential and not disclose to any third party any non-public information relating to AskEDITED, the Augmented Data, the Service Data or EDITED’s business, technology or pricing that you obtain through the trial, and shall use such information solely for the Permitted Purpose, except that you may disclose such information to the extent required by law, regulation or a competent court or authority, in which case you shall, to the extent legally permitted, notify EDITED before making the disclosure.

XII.Governing Law and Jurisdiction

  1. This Agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.

XIII.General

  1. EDITED may amend this Agreement at any time by publishing an updated version. Your continued access to or use of AskEDITED after any such amendment constitutes acceptance of the amended Agreement, save where the proposed amendment is reasonably likely to materially adversely affect you, in which case EDITED will notify you in writing of the amendment and require you to reaffirm acceptance of this Agreement (as amended) by completing an acceptance checkbox or equivalent mechanism before continued access is permitted.

    EDITED may identify you as a trial user of AskEDITED. You shall not use EDITED’s name, logo or trademarks without EDITED’s prior written consent. You may not assign, transfer or sublicense this Agreement without EDITED’s prior written consent. EDITED may assign or transfer this Agreement at any time without consent.

    All notices under this Agreement will be in writing and will be deemed to have been duly given when received, if personally delivered; when receipt is electronically confirmed, if transmitted by e-mail; the day after it is sent, if sent for next day delivery by recognised overnight delivery service; and upon receipt, if sent by certified or registered mail, return receipt requested. Notice to EDITED shall be sent to either accounts@edited.com, legal@edited.com or 77 Farringdon Road, London EC1M 3JU, United Kingdom Attn: Accounts Receivable.

    Nothing in this Agreement creates any agency, partnership, joint venture or employment relationship between the parties. If any provision of this Agreement is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remainder of this Agreement remains in full force and effect. No failure or delay by either party to exercise any right under this Agreement will operate as a waiver of that right. A person who is not a party to this Agreement has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term. This Agreement (together with the DPA or the Privacy Policy (as applicable)) constitutes the entire agreement between the parties in relation to its subject matter and supersedes all prior agreements, communications and understandings.

  2. Where you are a party to a separate agreement with one or more applicable members of the EDITED group, the terms of that separate agreement will take precedence over the terms of this Agreement to the extent of any conflict or inconsistency.
