Fair Usage Policy for AskEDITED

EDITED is committed to providing a reliable, secure and high-performing experience for everyone who uses our platform. That means we need to make sure that the way one customer uses AskEDITED does not affect the performance, integrity or availability of the platform and Service Offerings for others.
1. Purpose and scope
This Fair Usage Policy for AskEDITED, as updated from time to time in accordance with section 7 below (“Policy”) sets out how you and your Permitted Users may use AskEDITED. It is intended to support open and productive use of AskEDITED while protecting the security, performance and availability of the Service Offering for all of our customers.
This Policy forms part of the Agreement between us and is incorporated into the Agreement by reference. Capitalised terms used but not defined in this Policy have the meanings given to them in the Agreement.
Notwithstanding the order of precedence set out in the SaaS Agreement, this Policy shall prevail over the SaaS Agreement in respect of acceptable use of AskEDITED, the technical and operational measures EDITED may apply to AskEDITED under section 6 and the determination of reasonable and excessive use under sections 3 and 5. The applicable Order Form and the DPA shall continue to prevail over this Policy in accordance with the SaaS Agreement’s order of precedence.
2. AskEDITED
AskEDITED is provided as a feature of our Service Offering. AskEDITED is currently included within your existing subscription at no additional charge, and is intended to support your normal business activities and workflows associated with your licensed use of the Service Offering.
We may at any time, in our sole discretion, set, adjust or introduce usage parameters, restrictions, thresholds, allowances, Credits, limits, service tiers, packaging, pricing models or other commercial controls applicable to AskEDITED, in accordance with the terms of the Agreement, including the basis on which AskEDITED is included within or made available alongside subscriptions to the Service Offerings. Nothing in this Policy obliges us to maintain AskEDITED on its current basis or as part of any particular subscription. For the purposes of this Policy, “Credits” means any units, allowances or similar entitlements that we may introduce from time to time in connection with access to or use of AskEDITED.
3. Reasonable and fair use
You and your Permitted Users shall use AskEDITED in accordance with the Agreement, including the permitted use restrictions therein, in good faith, and in a manner consistent with typical use of the Service Offerings by organisations of similar size and industry.
AskEDITED operates on shared platform resources. Your use should be proportionate to your ordinary Internal Business Purposes and should not adversely affect the security, performance, stability or availability of the Service Offering for other customers. For the purposes of this Policy, “Internal Business Purposes” means use of the Service Offering and any Service Data solely for your own internal business purposes, and not for the benefit of third parties or as part of a service bureau or similar arrangement, as further described in Section I of the applicable SaaS Agreement.
We may determine, in our sole discretion, what constitutes reasonable use, excessive use or use that is otherwise outside the scope of this Policy, having regard to typical use of the Service Offering, the protection of platform performance and security, and our legitimate operational interests.
You and your Permitted Users shall not attempt to bypass, interfere with, or circumvent technical, security or commercial measures designed to ensure a fair, secure and reliable service for all of our customers.
We may, at any time and in our sole discretion, modify, replace, withdraw, discontinue or cease to make available AskEDITED or any part, feature, model or capability of AskEDITED, whether generally or in respect of any particular customer, subscription, region or tier. Nothing in this Policy or the Agreement constitutes a commitment by us to maintain AskEDITED, any specific functionality of AskEDITED, or any specific underlying model, third party service or infrastructure.
4. Monitoring and analysis of usage
We may monitor and analyse use of AskEDITED to operate, secure and improve the Service Offerings, to manage performance and capacity, to detect and prevent misuse and fraud, and to investigate activity that may adversely impact platform performance, service availability, security or operating costs. Such monitoring may include reviewing volumes, frequencies, prompt and response characteristics, error and latency signals, and account-level usage patterns.
We use aggregated and de-identified information for analytics, product improvement and the compilation of statistics in accordance with the SaaS Agreement. To the extent that any personal data is included in Content submitted to AskEDITED, we process that personal data in accordance with the DPA referenced in the applicable SaaS Agreement.
5. Examples of activity outside reasonable use or otherwise prohibited
Without limiting the terms of our applicable Agreement with you, the following activity is outside reasonable use of AskEDITED and shall be prohibited. The list is illustrative and not exhaustive and includes, without limitation:
- Automated, scripted or programmatic querying of AskEDITED, or use of bots, scripts, scrapers, crawlers or other automated processes, in each case not expressly authorised by us.
- Using AskEDITED, its outputs or any associated Service Data to develop, train, benchmark or improve any competing model, dataset or service, or to derive ground truth or test harnesses for such purposes.
- Sharing access credentials or tokens, or permitting unauthorised third parties to use AskEDITED.
- Reselling, sublicensing or otherwise making AskEDITED available to third parties, including as part of a service bureau arrangement, except as expressly permitted by the Agreement.
- Stress testing, benchmarking, load testing or replicating AskEDITED or the Service Offering without our prior written consent, and any usage patterns designed to simulate human activity, generate artificial load or evade rate management.
- Attempts to bypass or interfere with safeguards, filters, rate limits or usage controls, including prompt chaining designed to circumvent restrictions.
- Prompt injection, data exfiltration, unauthorised access attempts, or any effort to obtain confidential, proprietary or personal information that you or your Permitted User are not authorised to access, or to compromise the security or integrity of AskEDITED or the Service Offering.
- Generating, distributing or using outputs that are unlawful, harmful, infringing, defamatory, misleading, discriminatory or otherwise objectionable, including content intended to facilitate harm, fraud, harassment or the infringement of third-party rights.
- Submitting personal data or sensitive data to AskEDITED other than in accordance with the Agreement, including the DPA.
- Use that is inconsistent with your normal business operations or your licensed use of the Service Offering, or that degrades the security, performance, stability or availability of the Service Offering for other Clients, including denial of service patterns or disproportionate resource consumption.
- Reverse engineering, decompiling or otherwise attempting to discover underlying models, architectures, weights, system prompts or configuration.
- Security testing of AskEDITED or the Service Offering, including penetration testing and red teaming, without our prior written consent.
You are responsible for all use of AskEDITED by your Permitted Users and for all activity carried out under your account, credentials, tokens or tenant, whether or not authorised by you. Any act or omission of a Permitted User that would, if carried out by you, constitute a breach of the Agreement or this Policy, shall be treated as a breach by you. You shall ensure that each Permitted User complies with this Policy and the Agreement, and you shall be liable for any failure to do so.
6. Our response to excessive or problematic usage
Where we reasonably determine that your use of AskEDITED materially exceeds reasonable use, is outside reasonable use, or adversely affects security, performance, operating costs, other customers or our legitimate operational interests, we may take proportionate steps to protect the affected Service Offering.
We will generally seek to engage with you in good faith before applying restrictions under this section 6, where we consider it reasonably practicable and appropriate to do so in the circumstances. Nothing in this section requires us to engage with you in advance, and we may take any action under this section 6 (including with immediate effect and without prior notice) where we consider it appropriate to protect the security, integrity, performance, availability or operating economics of the Service Offering, to protect other customers, to comply with applicable law or any direction of a regulator or law enforcement authority, or to address suspected breach of the Agreement or this Policy.
Without prejudice to EDITED’s rights under the Agreement, our response may include any one or more of the following measures, without limitation:

- working with you to modify usage patterns;
- providing guidance or a warning;
- implementing appropriate safeguards or establishing usage parameters;
- applying temporary throttling or rate management;
- applying, adjusting or introducing usage limits, thresholds, rate limits, allowances, Credits or other technical or operational controls;
- transitioning you to a different service tier (as may be applicable from time to time);
- applying other protective technical or operational measures; or
- suspending or restricting access to AskEDITED (in whole or in part, and for such period as we reasonably consider necessary) for you, any Permitted User, or any specific account, environment or workload.
We may withdraw, modify, replace or discontinue AskEDITED, or any feature, model, integration or capability comprised within AskEDITED, at any time. Any action taken by us under this Policy, including any suspension, restriction, throttling, modification or withdrawal, shall not constitute a breach of the Agreement by us, shall not entitle you to any refund, service credit, fee reduction or other remedy, and is without prejudice to our other rights and remedies under the Agreement or at law.
7. Effect of action under this Policy
Any measures taken by us under this Policy, including monitoring, determinations as to reasonable use, the introduction or adjustment of usage parameters, Credits, thresholds, throttling, tier transitions, suspension, restriction or withdrawal, are taken to protect the Service Offering, our customers and our legitimate operational interests. Such measures shall not:
- constitute a breach of the Agreement by us;
- constitute a failure to meet any service level or availability commitment;
- give rise to any liability, refund, service credit, fee reduction or other remedy in your favour; or
- limit any other right or remedy available to us under the Agreement or at law.
8. Updates to this Policy
We may update this Policy from time to time in our sole discretion and in accordance with the terms of the Agreement, including to reflect changes in usage patterns, service capabilities, commercial offerings, pricing model, the Service Offerings, or operational, legal or regulatory developments.
For the avoidance of doubt, none of the following constitutes a change to or update of this Policy:
- our exercise of any right under section 3 or section 6, including the introduction or adjustment of usage parameters, Credits, thresholds, allowances, tiers, packaging, pricing models, throttling, rate limits or other commercial, technical or operational controls;
- our determinations under section 4 as to what constitutes reasonable use; or
- any action we take to enforce this Policy or the Agreement.
